Shadow Divers is definately the better BOOK.  It reads more smoothly and  the storyline is fairly even

The Last Dive is perhaps more accurate in terms of it's diving terminology and explanations to the non-divers of gear and techniques as Bernie C. is a diver himself.

HOWEVER, I find TLD to be too distracting with Bernie's constant interjecting of himself into the story.  He also make constant, and terrible, use of flash-forward/flashbacks in a manner which does not make for a very even flow.  I also think that he perhaps romanticizes the image of the Rouses (fair enough if they were friends).
